1. Agreement to these terms

These Terms and Conditions ("Terms") form a binding agreement between you and Dirige Media ("Dirige Media," "we," "us," or "our") governing your access to and use of www.dirigemedia.com, our appointment and intake forms, booking tools, and any marketing, filming, editing, content, strategy, or related services we provide (together, the "Services"). By using the website, submitting a form, booking a call, or engaging our Services, you agree to these Terms. If you do not agree, do not use the website or Services.

If you accept these Terms on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our Services.

3. Services and separate agreements

Information on this website is a general description of what we offer and is not an offer to contract. Specific deliverables, schedules, fees, and payment terms will be set out in a written proposal, statement of work, or service agreement ("Service Agreement"). If a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement.

We may modify, suspend, or discontinue any part of the website or Services at any time without liability.

4. No guarantee of results

Any statistics, case studies, testimonials, views, sales figures, or client outcomes shown on this website reflect past results of specific clients and are provided for illustration only. They are not a promise or guarantee that you will achieve similar results.

Social media performance, lead generation, property sales, and business revenue depend on many factors outside our control, including platform algorithms, market conditions, your own conduct, pricing, and responsiveness. We do not guarantee any particular number of views, followers, leads, clients, sales, rankings, or revenue.

5. Fees, payment, and refunds

Fees are stated in your Service Agreement or invoice. Unless otherwise agreed in writing, payments are due on the dates stated, are non-refundable once work has started or a shoot has been scheduled, and late amounts may incur reasonable collection costs. We may pause Services for unpaid balances.

Free audits and consultations are provided as-is, with no obligation on either party.

6. Scheduling, cancellations, and rescheduling

Calls and shoot days are booked through our scheduling provider. Shoot days cancelled or rescheduled with less than 48 hours' notice may be charged in full or in part as stated in your Service Agreement. We may reschedule due to weather, illness, safety concerns, equipment failure, or other circumstances beyond our control without liability.

7. Your responsibilities

You agree to provide accurate information, timely feedback, and lawful access to any property or location we film. You are solely responsible for obtaining all permissions, releases, and consents required from property owners, tenants, sellers, staff, customers, and any other people appearing in content, and for the accuracy of any listing details, prices, claims, or statements included in content at your direction.

You are responsible for ensuring that published content complies with laws and rules that apply to your industry, including real estate advertising rules, fair housing laws, brokerage and MLS policies, licensing disclosure requirements, food and health claims, and platform policies. We do not provide legal, real estate, financial, or regulatory advice.

8. Intellectual property and usage rights

All website content, branding, designs, and materials we create remain our property until paid in full. Upon full payment, you receive the usage rights described in your Service Agreement. Unless otherwise agreed, we retain ownership of raw footage, project files, methods, templates, and know-how, and we may display completed work in our portfolio and marketing.

You grant us a license to use any logos, photos, music, or materials you provide solely to perform the Services, and you represent that you have the rights to provide them.

9. Third-party platforms

Our Services rely on third-party platforms such as Instagram, TikTok, Facebook, YouTube, LinkedIn, Google, Zillow, and Calendly. We are not responsible for their availability, policy changes, algorithm changes, account restrictions, suspensions, data loss, or any actions they take.

10. Acceptable use

You may not use the website to submit false information, spam, malicious code, or unlawful content, attempt to access systems without authorization, scrape or copy site content for commercial use, or interfere with the website's operation.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIRIGE MEDIA AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, LEADS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING.

13. Indemnification

You agree to defend, indemnify, and hold harmless Dirige Media and its owners, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the website or Services, content or materials you provide or approve, your violation of these Terms or any law, your failure to obtain required permissions or releases, or claims by third parties relating to your properties, listings, products, or business.

14. Filming safety and property

You are responsible for ensuring filming locations are safe and that valuables are secured. We are not liable for ordinary wear, incidental disturbance, or damage not caused by our gross negligence or willful misconduct.

15. Privacy

Information you submit through our forms is used to respond to you, prepare for calls, and provide Services. We do not sell your personal information. By submitting a form, you consent to us contacting you by email, phone, or text about your inquiry.

16. Dispute resolution and arbitration

Before filing any claim, you agree to contact us at filming@dirigemedia.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Any dispute that is not resolved informally will be resolved by binding individual arbitration administered under the rules of the American Arbitration Association, held in Santa Clara County, California, or remotely. YOU AND DIRIGE MEDIA WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. Either party may bring qualifying claims in small claims court or seek injunctive relief for intellectual property misuse.

Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

17. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to the arbitration section, exclusive venue lies in the state and federal courts located in Santa Clara County, California.

18. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, weather, illness, pandemics, power or internet outages, platform outages, labor disputes, or government action.

19. General

If any part of these Terms is found unenforceable, the remaining provisions stay in full effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with any Service Agreement, are the entire agreement between you and us regarding their subject matter.

We may update these Terms at any time by posting a revised version on this page. Continued use of the website or Services after changes means you accept the updated Terms.
